1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website located at https://www.businesswithai.io (the "Website") and any related content, newsletters, downloads, tools, or services offered through it (together, the "Services"), provided by Artemis Labs Pte. Ltd. (trading as Business With AI, "we", "us", or "our"), a private limited company incorporated in Singapore with its registered office at 9 Raffles Place, #29-05, Republic Plaza, Singapore, 048619.

By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Website.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or your use of the Website shall not exceed the greater of (a) the total amount you paid to us in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred Singapore dollars (SGD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

14. Indemnification

You agree to indemnify, defend, and hold harmless Artemis Labs Pte. Ltd. and its directors, officers, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • Your use or misuse of the Website or the Services.

  • Your violation of these Terms.

  • Your violation of any law or the rights of any third party.

  • Any User Content you submit.

  • Your implementation, deployment, or use of any AI tool, prompt, framework, or guidance referenced on the Website.

15. Termination

We may suspend, restrict, or terminate your access to the Website or the Services at any time, with or without notice, for any reason, including if we reasonably believe you have breached these Terms.

You may stop using the Website at any time. Upon termination, all provisions of these Terms that by their nature should survive will survive, including provisions relating to intellectual property, User Content, disclaimers, limitation of liability, indemnification, and governing law.

16. Changes to the Website and Services

We may modify, suspend, or discontinue the Website or any part of the Services at any time, with or without notice. This does not affect any mandatory consumer protection rights you may have under the law of your country of residence.

19. Dispute Resolution

Before filing any formal claim, you agree to first contact us at hello@businesswithai.io and attempt to resolve the dispute informally. We will make a good-faith effort to resolve disputes through direct negotiation. If a dispute cannot be resolved informally within 30 days, either party may pursue formal proceedings in accordance with Section 18.

20. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific products or services, constitute the entire agreement between you and us regarding the Website.

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

  • No waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

  • Assignment: You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

  • No agency: Nothing in these Terms creates any partnership, joint venture, agency, employment, or franchise relationship between you and us.

  • Force majeure: We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, or epidemics.

  • Headings: Section headings are for convenience only and do not affect interpretation.

  • Language: These Terms are drafted in English. Any translation is provided for convenience only; the English version prevails in case of conflict.
